1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of the Sophiris Advisory website, coaching platform, and all associated services (collectively, the "Services"), operated by Sophiris Advisory ("we", "us", "our").
By accessing our website, completing a coaching assessment, booking a session, or engaging with any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree with any part of these Terms, you must not use our Services.
These Terms constitute a legally binding agreement between you and Sophiris Advisory. We recommend you save or print a copy for your records.
2. Description of Services
Sophiris Advisory provides professional executive coaching, leadership development, and career clarity services. Our Services include:
• Online coaching assessments and Coaching Gem diagnostics
• AI-assisted coaching insights and personalised reports
• One-to-one executive coaching sessions (online via Zoom or in-person in Athens, Greece)
• Team coaching and corporate leadership programmes
• Booking, scheduling, and communication tools via our platform
2.1 Nature of Coaching Services
Coaching is a professional development service focused on goal-setting, performance, clarity, and accountability. It is distinct from and should not be confused with:
• Psychotherapy, counselling, or mental health treatment
• Medical advice or diagnosis
• Legal, financial, or investment advice
• Management consulting or business strategy advisory
If you are experiencing mental health difficulties, we strongly encourage you to seek support from a qualified mental health professional. Sophiris Advisory will refer you to appropriate support if this becomes relevant during coaching.
2.2 AI-Assisted Insights
Our platform uses artificial intelligence (Anthropic's Claude model) to generate coaching insights from assessment data. These insights are intended as a starting point for coaching conversations and are not a substitute for the professional judgement of your coach. All AI-generated content is reviewed in the context of your sessions.
3. Eligibility
Our Services are intended for:
• Individuals aged 18 or over
• Professionals, executives, founders, and business leaders
• Organisations seeking leadership or team development
By using our Services, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are purchasing services on behalf of a company or organisation, you confirm you have authority to bind that organisation to these Terms.
4. Booking and Scheduling
4.1 Discovery Calls
Complimentary 30-minute Discovery Calls may be booked via our online booking system or by email. We reserve the right to decline or reschedule bookings at our discretion.
4.2 Paid Sessions
Paid coaching sessions are confirmed only upon receipt of full payment (or agreed deposit for programme packages). Session times are subject to availability and are confirmed by email.
4.3 Cancellation and Rescheduling — Individual Clients
• More than 48 hours notice: Rescheduling at no charge. Full refund if cancellation requested.
• 24–48 hours notice: Rescheduling permitted once at no charge. Cancellation incurs a 50% session fee.
• Less than 24 hours notice: Full session fee is charged. No refund or rescheduling.
• No-show (no contact): Full session fee is charged.
4.4 Cancellation and Rescheduling — Corporate Clients
Corporate cancellation terms are governed by the specific engagement agreement in place. Where no specific terms apply, the individual client policy above applies with 5 business days notice substituting for 48 hours.
4.5 Maria's Cancellations
If Sophiris Advisory cancels a confirmed session, you will receive a full refund or rescheduling at no cost. We will provide as much notice as reasonably possible.
4.6 Late Arrivals
If you arrive more than 15 minutes late to a session without prior notice, the session will be considered forfeited and the full fee charged, unless Maria is able to accommodate the time lost in the same session or at a rescheduled time.
5. Fees and Payment
5.1 Pricing
Current pricing is listed on our website and booking pages. All prices are in Euros (EUR) unless otherwise stated. Prices are inclusive of applicable VAT where required by law.
5.2 Payment Terms
• Session fees are payable in full at the time of booking, unless otherwise agreed in writing.
• Programme packages may be subject to a payment schedule agreed prior to commencement.
• We accept payment by credit/debit card, bank transfer, or other methods as displayed at checkout.
5.3 Late Payment
Unpaid invoices are subject to late payment interest at the rate of 2% per month (or the maximum permitted by applicable law, whichever is lower) from the due date until payment is received.
5.4 Refund Policy
• Complimentary sessions: No payment involved; no refund applicable.
• Individual paid sessions: Refunds are governed by the cancellation policy in Section 4.3.
• Coaching programmes: Where a programme has commenced, refunds will be calculated pro-rata for unused sessions, less a 10% administration fee.
• If you are dissatisfied with a session, please contact us within 48 hours. We will work in good faith to address your concerns, which may include a complimentary follow-up session at our discretion.
5.5 Consumer Rights (EU/UK)
If you are a consumer in the EU or UK, you have the right to withdraw from a contract within 14 days of entering into it (the "cooling-off period"), except where:
• The service has already been fully performed with your consent before the cooling-off period expires; or
• A digital service or assessment has been fully accessed before withdrawal is requested.
By booking a session or accessing an assessment, you consent to the service commencing before the cooling-off period expires and acknowledge that your right of withdrawal will be lost upon completion of the service.
6. Confidentiality
6.1 What We Keep Confidential
Sophiris Advisory treats all information shared during coaching sessions, assessments, and related communications as strictly confidential. This includes your personal challenges, business matters, professional relationships, and any sensitive information disclosed during coaching.
6.2 Exceptions to Confidentiality
Confidentiality may be broken in the following limited circumstances:
• Where you give explicit consent to share specific information
• Where there is a credible risk of serious harm to you or others (duty of care)
• Where required by law or a court order
• Where necessary to prevent fraud or other criminal activity
We will, wherever possible, inform you before disclosing information under these exceptions.
6.3 Supervision and Professional Development
As a professional coach, Maria may discuss anonymised coaching scenarios with a qualified supervisor or peer group for professional development purposes. No identifying information will be shared without your consent.
6.4 Your Obligations
You agree to treat any information shared by Maria, Sophiris Advisory, or other participants in group coaching settings as confidential and not to disclose it to third parties without prior written consent.
7. Intellectual Property and Trade Secrets
7.1 Our Content
All content, tools, frameworks, methodologies, assessments, reports, and materials made available through our Services — including Coaching Gem diagnostics, session materials, and AI-generated reports — are the intellectual property of Sophiris Advisory or our licensors. All rights are reserved.
7.2 Licence to You
We grant you a limited, non-exclusive, non-transferable licence to use coaching materials and reports for your own personal or internal professional development purposes. You may not:
• Reproduce, distribute, or publish our materials for commercial purposes
• Share proprietary frameworks or assessment content with third parties
• Reverse-engineer or replicate our coaching methodologies or platform
7.3 Your Content
You retain ownership of any information, responses, or content you submit through our platform. By submitting content, you grant us a limited licence to use it for the purpose of delivering our Services to you and improving our coaching methodology (in anonymised form only).
8. Limitation of Liability
8.1 No Guarantees of Outcomes
Coaching results depend significantly on your own effort, commitment, and circumstances. Sophiris Advisory does not guarantee specific outcomes, results, promotions, financial gains, business success, or any other particular result from coaching.
8.2 Liability Cap
To the maximum extent permitted by applicable law, our total liability to you in connection with the Services (whether in contract, tort, or otherwise) shall not exceed the total fees paid by you to Sophiris Advisory in the 12 months preceding the event giving rise to the claim.
8.3 Exclusion of Certain Losses
We shall not be liable for:
• Indirect, consequential, or special losses
• Loss of profit, revenue, or business opportunity
• Loss of data or goodwill
• Business interruption
8.4 Exceptions
Nothing in these Terms limits or excludes liability for:
• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law (including consumer protection rights under EU/UK law)
8.5 Force Majeure
We are not liable for failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to illness, natural disasters, internet outages, or government restrictions.
10. Termination of Engagement
10.1 By You
You may terminate a coaching engagement at any time by providing written notice to maria@sophirisadvisory.com. Fees for completed sessions are non-refundable. Unused sessions in a programme package will be refunded pro-rata less administration costs.
10.2 By Us
Sophiris Advisory reserves the right to terminate or suspend a coaching engagement in the following circumstances:
• Non-payment of fees
• Abusive, threatening, or inappropriate behaviour towards Maria or platform users
• Misuse of the platform or breach of these Terms
• A professional determination that coaching is not appropriate for your current needs
Where we terminate for reasons other than your breach, we will refund fees for unused sessions.
10.3 Effect of Termination
Upon termination, your licence to use our platform and materials ceases. Your data will be retained in accordance with our Privacy Policy and applicable law.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Greece and the European Union, without regard to conflict of law principles.
11.2 EU Consumer Rights
If you are a consumer located in the EU, you benefit from any mandatory protective provisions of the law of your country of residence. Nothing in these Terms affects your statutory rights as an EU consumer.
11.3 Dispute Resolution
In the event of a dispute, we encourage you to contact us first at maria@sophirisadvisory.com to seek an informal resolution. We aim to respond within 10 business days.
If we cannot resolve a dispute informally:
• EU residents: You may refer disputes to the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr
• All clients: Disputes may be submitted to mediation or the courts of competent jurisdiction in Athens, Greece.
11.4 Class Action Waiver
To the extent permitted by applicable law, you agree to resolve disputes individually and waive any right to participate in class action litigation or class-wide arbitration.
12. General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any specific engagement agreement, constitute the entire agreement between you and Sophiris Advisory with respect to the Services.
12.2 Severability
If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
12.3 Waiver
Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
12.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in the event of a merger, acquisition, or sale of assets.
12.5 Updates to These Terms
We may update these Terms from time to time. Material changes will be communicated by email (for active clients) or by notice on our website. Continued use of our Services after such notice constitutes acceptance of the updated Terms.
